Data Asset Purchase, Licence & API Terms

Effective Date: 24 October 2026
Version: 1.0

These Data Asset Purchase, Licence & API Terms ("Data Asset Terms") govern the purchase, delivery, licence and use of commercial Data Assets supplied by Patenti Technology Solutions Private Limited ("Patenti") and associated access to the Patenti Data API.

The legal entity identified as the purchasing organisation in the applicable order is referred to as the "Buyer".

By completing checkout, the individual placing the order confirms that they are authorised to bind Buyer to these Data Asset Terms.

1. Definitions

API means the Patenti Data API providing authenticated read-only programmatic access to selected information within a licensed Data Asset Release.

API Credential means the unique authentication credential issued for a purchased Data Asset and Release.

Asset ID means Patenti's identifier assigned to a commercial Data Asset.

Data Asset means the commercial dataset, compilation, mappings, classifications, scores, analytical metadata, evidence structures and related Documentation identified in an Order.

Documentation means applicable guides, data dictionaries, release notes, methodology descriptions, API documentation, legal notices and related materials.

Order means the purchase record identifying Buyer, Data Asset, Release and applicable price.

Release means the specific version of a Data Asset identified by its release number and, where applicable, coverage or freeze date.

Third-Party Materials means patents, patent text, standards, standard designations, certification information, trademarks, source documents, public records or other material not owned by Patenti.

2. Business Purchase and Authority

Patenti Data Assets are offered for professional, institutional and business use.

Buyer confirms that:

(a) Buyer is the legal entity identified in the Order;

(b) the person completing the purchase is authorised to bind Buyer;

(c) the purchase is made for Buyer's internal business or organisational purposes; and

(d) information supplied during checkout is accurate in all material respects.

A parent company, subsidiary, affiliate, customer, supplier, adviser or other organisation is a separate legal entity and is not included in the licence merely because it is associated with Buyer.

3. Contract Formation

An Order becomes binding when payment is successfully confirmed and the purchased Release is made available for electronic delivery.

The Order, applicable product description, these Data Asset Terms and incorporated Documentation form the agreement relating to the purchased Release.

Terms contained in Buyer's purchase order or procurement form are administrative only and do not alter these Data Asset Terms unless expressly accepted by Patenti in a separately signed written agreement.

Where Patenti and Buyer sign a separate master agreement, licence or commercial agreement covering the same purchase, that signed agreement prevails to the extent of any conflict.

4. Price, Currency and Taxes

Prices are those displayed or agreed when the Order is placed.

A Data Asset may be priced in United States dollars or another stated currency.

Payment may be processed or settled through an authorised payment provider in the currency supported by that provider and applicable regulatory requirements.

Buyer is responsible for its own bank, card, foreign-exchange and intermediary charges unless expressly stated otherwise.

Applicable taxes, duties or similar governmental charges will be handled as required by law.

Where Buyer is required by law to deduct or withhold tax from a payment, Buyer shall provide Patenti with the official withholding certificate or equivalent documentation reasonably necessary for Patenti's records.

5. Digital Delivery

Data Assets are supplied electronically.

Following successful payment, the commercial Release is made available through the purchase-confirmation process and/or a secure download link.

Buyer is responsible for downloading and securely retaining the purchased Release within the stated download-link period.

Expiry of a temporary download link does not cancel the purchase or create a refund entitlement where the Release was correctly made available.

Where necessary to remedy a genuine delivery failure, Patenti may provide replacement access to the same purchased Release.

6. Licence Grant

Subject to payment and compliance with these Data Asset Terms, Patenti grants Buyer a non-exclusive, non-transferable, non-sublicensable licence to use the purchased Release internally within the purchasing legal entity.

Unless expressly stated otherwise, Buyer's internal-use licence to the downloaded Release is perpetual for that specific Release.

The licence does not include future Releases, refreshes, successor datasets or other Patenti Data Assets.

7. Permitted Use

Buyer may:

(a) store and copy the Data Asset within Buyer's internal systems;

(b) share the Data Asset internally among employees, officers and directors who require access for legitimate business purposes;

(c) conduct internal patent, technical, standards, commercial and analytical work;

(d) combine the Data Asset with Buyer's own internal information;

(e) create internal calculations, models, analyses, summaries and derived conclusions;

(f) use analytical conclusions in Buyer's internal reports and presentations; and

(g) integrate licensed API results into Buyer's internal systems, applications and workflows.

8. Prohibited Use

Buyer must not, without Patenti's prior written permission:

(a) sell, rent, sublicense, transfer or externally redistribute the Data Asset;

(b) provide the Data Asset or substantial portions to another legal entity, including an affiliate;

(c) publish the whole or a substantial portion of the Data Asset;

(d) make substantial portions publicly downloadable or accessible;

(e) incorporate substantial portions into another commercial database, data feed, product or service provided to third parties;

(f) expose substantial portions through an external commercial API or service;

(g) sell or commercially distribute a competing dataset substantially derived from Patenti's proprietary mappings, classifications or analytical structure;

(h) share API Credentials outside Buyer;

(i) circumvent API authentication, security or rate limits;

(j) remove proprietary, release, attribution or rights notices; or

(k) represent Patenti analysis as an official determination of a standards body, court, patent office or other third party.

Buyer's own independently expressed analytical conclusions may be communicated externally provided doing so does not disclose, reproduce or enable reconstruction of substantial proprietary portions of the Data Asset.

9. API Access

Where included with a purchase, API access is an additional delivery method for the same licensed Data Asset.

Each API Credential is restricted to the purchased Data Asset and Release.

A credential issued for one technology or Release does not provide access to another Patenti Data Asset or a future Release.

Buyer shall:

(a) keep the API Credential confidential;

(b) use it only within Buyer;

(c) implement reasonable safeguards against unauthorised access;

(d) notify Patenti if a credential is reasonably believed to have been compromised; and

(e) comply with documented technical limits.

Patenti may apply reasonable rate limits, pagination limits, security controls and request restrictions.

API responses are restricted to records within the licensed Release.

Absence of a record from an API result must not be interpreted as a determination that a patent, claim, product or technology has no technical relationship with a relevant standard outside the assessed Release scope.

The downloadable commercial Release is the canonical commercial release.

The API is an ancillary access method. It is not a SaaS subscription and is not subject to an availability service-level commitment unless separately agreed in writing.

Patenti may modify, secure, temporarily suspend or discontinue API functionality where reasonably necessary for maintenance, legal compliance, security or abuse prevention.

Discontinuation of API access does not terminate Buyer's continuing licence to the correctly delivered downloadable Release.

10. API Security and Submitted Information

Buyer must not transmit passwords, payment-card information, special-category personal data, confidential client datasets or unrelated sensitive information through API query parameters.

Patenti may maintain API authentication, usage and security records as described in its Privacy Policy.

Compromised credentials may be revoked and replaced.

11. Intellectual Property

Patenti retains all rights it owns in Patenti-created elements of the Data Asset, including, to the extent legally protectable:

  • compilation, selection and arrangement;

  • patent-to-standard mappings;

  • claim-to-section mappings;

  • correspondence scores;

  • classifications;

  • technical annotations and explainability;

  • analytical taxonomies and schema;

  • evidence relationships;

  • release structure; and

  • Documentation.

No ownership interest is transferred to Buyer.

Buyer retains ownership of Buyer's independently created information and conclusions, subject to Patenti's rights in the underlying licensed material.

12. Third-Party Materials

The Data Asset may identify, cite, link to or contain information concerning patents, standards, certifications, products, companies or other public sources.

Third-Party Materials remain subject to the rights applicable to those materials.

No licence to an IEEE, Wi-Fi Alliance, C2PA or other third-party standard is granted merely because a Data Asset references that standard.

No third-party trademark licence is granted.

Buyer must retain source or attribution notices where the delivered material indicates they are required.

13. Release Identification and Verification

A commercial Release may identify:

  • Asset ID;

  • release number;

  • release date;

  • coverage or freeze date;

  • standards versions;

  • commercial filename; and

  • SHA-256 verification value.

Where Patenti publishes a SHA-256 value, that value may be used to verify whether a retained file is byte-for-byte identical to the canonical released file.

14. Analytical Nature of Data

Patenti Data Assets provide technical and analytical intelligence.

Unless separately provided as a signed professional opinion, Data Asset content does not constitute:

  • a legal opinion;

  • a determination of standards essentiality;

  • an infringement determination;

  • an opinion on patent validity or enforceability;

  • a freedom-to-operate opinion;

  • a guaranteed patent valuation;

  • an investment recommendation; or

  • an official interpretation by a standards organisation.

Mappings, correspondence scores, classifications, implementation evidence and candidate indicators are analytical outputs within the methodology and scope stated for the relevant Release.

15. Quality and Conformity

Patenti uses reasonable care in defining and preparing each commercial Release.

Data Assets may nevertheless contain source limitations, omissions, public-record changes, standards changes or analytical judgments on which reasonable specialists may differ.

Patenti does not warrant that a Data Asset exhaustively identifies every patent or technical relationship existing outside the defined Release scope.

Patenti warrants that, at delivery, the commercial Release will materially correspond to its published product description.

16. Digital Product and Refund Policy

Because Data Assets are digital products made available for immediate access and use, purchases are final once correctly delivered.

No refund is provided merely because of:

  • change of mind;

  • non-use;

  • internal procurement reversal;

  • change of project or strategy;

  • failure to download within the stated download period; or

  • Buyer's later decision that it no longer requires the Data Asset.

Nothing in this clause excludes rights that cannot lawfully be excluded.

Patenti will correct the delivery or, where correction is not reasonably possible, provide an appropriate refund where:

(a) a duplicate payment has been collected;

(b) Buyer receives a different Data Asset or Release from the one ordered;

(c) the supplied commercial file is materially corrupted or inaccessible and Patenti cannot supply a working replacement;

(d) the Data Asset materially fails to conform to the published product description applicable at the time of purchase; or

(e) a refund is otherwise required by applicable law.

Temporary API interruption, reasonable maintenance, rate limiting or API-interface changes do not by themselves create a refund entitlement where the canonical downloadable Release has been correctly supplied.

A completed refund, cancellation or successful chargeback may result in revocation of the associated API entitlement.

17. Licence Protection

Buyer shall maintain reasonable safeguards against unauthorised access to the Data Asset and API Credential.

This obligation protects Patenti's licensed compilation, mappings, analytical structure and proprietary content. It does not make independently public patents, standards references or public records confidential merely because the Data Asset refers to them.

18. Compliance with Law

Each party shall comply with laws applicable to its obligations under these Data Asset Terms.

Buyer is responsible for ensuring that Buyer's use of the Data Asset is lawful in its jurisdiction.

Patenti may decline or suspend a transaction or API entitlement where reasonably necessary to

comply with sanctions, export-control restrictions, court orders, payment-network requirements or other applicable legal obligations.

19. Suspension and Termination

Patenti may suspend or revoke API access where:

  • payment is reversed or refunded;

  • a credential is compromised;

  • Buyer materially breaches the licence;

  • Buyer attempts unauthorised access;

  • use threatens security or service integrity; or

  • suspension is required by law.

Where a breach can reasonably be cured, Patenti may provide an opportunity to cure unless immediate action is required for security or legal reasons.

Termination for Buyer's breach does not create a refund entitlement except where required by law.

Provisions concerning intellectual property, licence restrictions, liability, confidentiality, dispute resolution and other provisions intended by their nature to survive shall continue after termination.

20. Indemnity

Buyer shall indemnify Patenti against third-party claims, liabilities and reasonable legal costs arising directly from:

(a) Buyer's unauthorised redistribution or sublicensing of the Data Asset;

(b) Buyer's unlawful use of the Data Asset or API;

(c) material supplied or combined by Buyer that infringes third-party rights; or

(d) Buyer's material breach of the licence restrictions.

This indemnity does not apply to the extent a claim results from Patenti's fraud, wilful misconduct or own material breach.

21. Limitation of Liability

To the maximum extent permitted by law, neither party shall be liable to the other for indirect, incidental, special, exemplary or consequential loss, or loss of profits, goodwill or anticipated commercial opportunity arising from these Data Asset Terms.

Patenti's aggregate liability arising from a purchased Data Asset Release shall not exceed the amount actually paid by Buyer for the specific Release giving rise to the claim.

Nothing excludes or limits liability that cannot legally be excluded or limited.

22. Force Majeure

Neither party shall be liable for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, governmental action, war, civil disturbance, widespread telecommunications failure, major infrastructure outage or comparable events.

Payment obligations already due are not excused by this clause.

23. Privacy

Personal data associated with purchasing, delivery, API administration and support is processed in accordance with Patenti's Privacy Policy.

The API is not designed for Buyer to submit personal datasets to Patenti.

If a future enterprise engagement requires Patenti to process personal data on behalf of Buyer beyond ordinary transaction and access-administration data, the parties may enter into an appropriate separate data-processing agreement before such processing begins.

24. Good-Faith Dispute Resolution

The parties shall first attempt in good faith to resolve any commercial dispute through discussions between authorised representatives.

Either party may issue written notice describing the dispute.

If unresolved within thirty days after such notice, either party may commence arbitration.

25. Arbitration

Any commercial dispute arising from these Data Asset Terms, an Order, the Data Asset or API that is legally capable of arbitration shall be finally resolved under the Arbitration and Conciliation Act, 1996.

The tribunal shall consist of one independent arbitrator mutually agreed by the parties.

If the parties do not agree on the arbitrator within thirty days after a valid arbitration request, appointment may be sought in accordance with Section 11 of the Arbitration and Conciliation Act, 1996.

The seat and legal place of arbitration shall be Bengaluru, Karnataka, India.

The language shall be English.

Hearings may be conducted electronically where appropriate.

The arbitration and award shall be confidential except where disclosure is reasonably required for legal advice, regulatory compliance or enforcement.

Nothing prevents either party from seeking urgent interim or conservatory relief from a competent court.

Subject to applicable non-waivable statutory rights, Bengaluru courts shall have jurisdiction over interim measures, enforcement and matters not capable of arbitration.

26. Electronic Communications and Notices

Transactional notices may be sent electronically to the email associated with the Order.

Legal notices should be sent to Patenti's published legal contact and to the Buyer contact recorded in the Order or later notified in writing.

27. Assignment

Buyer may not transfer this licence to another legal entity without Patenti's prior written consent.

Patenti may assign these Data Asset Terms as part of a bona fide merger, corporate reorganisation, acquisition or transfer of substantially all relevant business assets, provided the successor assumes applicable obligations.

28. Entire Agreement and Priority

For a standard online purchase, the Order, applicable product description, these Data Asset Terms and incorporated policies constitute the agreement relating to the purchased Release.

In the event of conflict, the following order of priority applies:

  1. a separately signed agreement between Patenti and Buyer;

  2. an expressly agreed Order or commercial addendum;

  3. these Data Asset Terms;

  4. the applicable product description and Documentation;

  5. Website Terms.

29. Changes

The version accepted for a completed Order continues to govern that Order.

Future revisions apply prospectively unless required by law or expressly agreed.

Patenti may make reasonable technical and security changes to API documentation and controls without reducing Buyer's substantive licence to the downloaded Release.

30. Severability and Waiver

If a provision is invalid or unenforceable, the remaining provisions continue in effect.

Failure to enforce a provision on one occasion does not waive the right to enforce it later.
